Terms of Service

Each engagement is governed by a separate service agreement that defines scope, deliverables, fees, and duration. These terms apply alongside that agreement; where they conflict, the specific service agreement controls.

Ad spend is billed directly by the ad platforms to the client's payment method, unless otherwise agreed in writing. Our service fees are billed per the schedule in the service agreement, typically as a monthly retainer.

Invoices are due within the timeframe stated on the invoice. Late payments may result in paused campaigns or suspended services.

Marketing outcomes depend on many factors outside our control — including your offer, market conditions, and competitive landscape. While we work toward measurable outcomes, we do not guarantee specific results, revenue figures, or return on ad spend.

Clients agree to provide timely access to accounts, assets, and information necessary to deliver services, respond to requests promptly, and approve work within reasonable timeframes. Delays in client input may affect timelines and results.

To the maximum extent permitted by law, Northbound is not liable for indirect, incidental, or consequential damages arising from services provided. Total liability is limited to the fees paid for the services giving rise to the claim during the prior three months.

These terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts located in San Francisco, California.
